Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the This & That mobile application, the website at thisandthat.app, and related services provided by This & That Social Media LLC ("This & That," "we," "us," or "our") (collectively, the "Service").

This & That is a social discovery and recommendation platform that allows users to rate, rank, review, save, discover, and discuss media, create collections, interact with other users, and discover people with similar tastes.

By creating an account, clicking to accept these Terms, accessing the Service, or using the Service, you agree to these Terms and acknowledge our Privacy Policy and Community Guidelines. If you do not agree to these Terms, do not use the Service.

1. Eligibility

You must be at least 14 years old to create an account or use This & That.

If you are under the age of majority where you live, you represent that you have permission from a parent or legal guardian to use the Service and that your use of the Service is permitted by applicable law.

This & That is currently offered for use in the United States.

You may not use the Service if you are legally prohibited from receiving or using the Service under applicable law.

You agree to provide truthful information regarding your age when requested. Users who identify themselves as being under the minimum permitted age may not create or maintain an account.

2. Your Account

Certain features of the Service require an account.

When creating or maintaining an account, you agree to:

Provide accurate and reasonably current information;
Maintain the security of your login credentials;
Not share your account credentials with unauthorized persons;
Not create an account for another person without permission;
Not impersonate another person, company, or organization; and
Promptly notify us if you believe your account has been accessed without authorization.

You are responsible for activity occurring through your account to the extent permitted by law.

We may require email verification, authentication, or other reasonable account-security measures.

You may not sell, rent, transfer, or commercially distribute your This & That account without our written permission.

3. License to Use the Service

Subject to your compliance with these Terms, This & That grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Service for its intended purposes.

This license does not transfer ownership of the Service or any This & That intellectual property to you.

Except where applicable law expressly permits otherwise, you may not:

Copy or commercially redistribute the Service;
Modify, reverse engineer, decompile, or attempt to extract the source code of the Service;
Circumvent technical limitations, access controls, safety systems, or security measures;
Use automated systems to scrape or extract information from the Service without written permission;
Use bots, crawlers, spiders, scripts, or similar automated tools to access the Service except where expressly authorized;
Attempt to gain unauthorized access to accounts, systems, APIs, servers, or data;
Interfere with or disrupt the operation of the Service; or
Use the Service to develop a substantially competing database, recommendation service, social graph, or commercial product through unauthorized extraction of This & That data.

Nothing in these Terms restricts rights that cannot lawfully be restricted.

4. Your Content

"This & That Content" means content owned or provided by This & That.

"User Content" means content that users create, submit, upload, send, publish, or otherwise make available through the Service. User Content may include:

Ratings;
Reviews;
Rankings;
Collections and lists;
Comments;
Profile information;
Profile photographs and avatars;
Favorites and likes;
Direct messages;
Reports and appeals; and
Other material submitted through the Service.

You Retain Ownership

As between you and This & That, you retain ownership of User Content that you create. These Terms do not transfer ownership of your original User Content to This & That.

License You Give This & That

By submitting User Content to the Service, you grant This & That a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, format, adapt, display, transmit, and distribute that User Content as reasonably necessary to:

Operate and maintain the Service;
Display content according to the Service's functionality and your available visibility settings;
Provide social and discovery features;
Generate community rankings;
Provide recommendations and Taste Match features;
Deliver content and communications to other users;
Moderate and protect the Service;
Maintain technical backups; and
Improve the Service.

This license does not permit us to claim authorship of your User Content.

To the extent technically and legally feasible, this license ends when your User Content is permanently deleted from the Service, except where continued retention is reasonably necessary for legal compliance, safety, child-safety reporting, fraud prevention, security, dispute resolution, enforcement, legal claims, or temporary backups.

Your Responsibility for Your Content

You represent that:

You own your User Content or have the rights necessary to submit it;
Your submission and our permitted use of it will not infringe another person's rights;
Your User Content complies with these Terms and our Community Guidelines; and
You will not knowingly submit unlawful, fraudulent, or malicious material.

You are responsible for User Content that you choose to post or send.

5. Profile Visibility and Social Activity

This & That includes social features. Profiles and associated social activity are generally visible only to logged-in users, except where the Service expressly provides otherwise.

Depending on the feature, other logged-in users may be able to see information such as your:

Display name and username;
Profile photo;
Bio;
Exact age;
Hometown and other profile location information that you have not chosen to hide;
Followers and following;
Ratings and reviews;
Rankings, collections, and lists;
Comments and feedback where relevant to the related content;
Activity history;
Queue or saved items;
Likes and favorites; and
Other social activity made visible through the Service.

Your date of birth, email address, phone number, and precise device location are not displayed as public profile information. The Service may allow you to hide certain location details from your profile.

Users may be searchable by display name or username. We do not make users searchable by email address or phone number through ordinary user-facing search features.

This & That does not currently provide a general private-profile toggle that makes all profile activity private. You should review the visibility of information before submitting it and should not share sensitive information that you do not want other users to see.

Content visible to other users may be copied, quoted, screenshotted, or shared outside of This & That by those users. We cannot control what another person does with information after obtaining it through authorized access to the Service.

6. Direct Messages

This & That may allow users to communicate through direct messages.

Direct messages are not displayed publicly and are not available for routine administrative browsing. However, direct messages should not be treated as legally privileged or absolutely confidential communications.

If a direct message, conversation, or user is reported through the Service, authorized This & That personnel may review the reported message and, where reasonably necessary to investigate the report, relevant surrounding conversation context.

We may preserve or disclose communications or related records where reasonably necessary to:

Comply with applicable law or legal process;
Investigate threats, exploitation, fraud, abuse, or security incidents;
Protect a person from serious harm;
Enforce these Terms or our Community Guidelines; or
Satisfy applicable child-safety or reporting obligations.

We do not routinely read private conversations for unrelated purposes.

7. Ratings, Rankings, Recommendations, and Taste Match

This & That provides ratings, rankings, recommendations, similarity calculations, and other discovery features.

Community rankings may be affected by user ratings and other activity within the Service.

Personalized recommendations and features such as Taste Match may consider factors such as ratings, rankings, favorites, media preferences, profile information, interests, and other interactions with the Service.

These outputs are intended for discovery and entertainment purposes.

Similarity scores, Taste Match results, recommendations, rankings, and other algorithmically generated outputs:

Are estimates;
May change as additional information becomes available;
May contain errors;
Do not guarantee personal compatibility;
Do not verify another user's identity or character; and
Should not be treated as professional, financial, medical, legal, employment, credit, housing, or other consequential advice.

This & That does not guarantee that any particular recommendation, ranking, match, or similarity calculation will be accurate or useful to you.

8. Community Guidelines and Acceptable Use

Your use of the Service is subject to our Community Guidelines, which are incorporated into these Terms by reference.

You may not use This & That to engage in conduct that is unlawful, abusive, deceptive, harmful, or materially interferes with other users' ability to use the Service.

Among other things, you may not:

Threaten, harass, bully, stalk, or intimidate another person;
Promote or facilitate violence or credible threats of violence;
Exploit or endanger minors;
Create, possess, solicit, distribute, or promote child sexual abuse material;
Share another person's sensitive personal information without authorization;
Impersonate another person or misrepresent your identity for deceptive purposes;
Engage in fraud, scams, phishing, or deceptive schemes;
Send spam or unauthorized bulk communications;
Upload malware or malicious code;
Attempt to compromise accounts or technical systems;
Circumvent moderation, reporting, blocking, or safety mechanisms;
Post content that unlawfully infringes intellectual-property rights;
Use the Service to facilitate unlawful activity;
Manipulate ratings, rankings, follows, reviews, or engagement through coordinated or automated inauthentic activity;
Scrape, harvest, or systematically collect user information without authorization;
Create unauthorized automated accounts;
Sell or purchase fake engagement;
Use another person's account without permission; or
Encourage another person to violate these Terms.

More specific content standards are described in the Community Guidelines.

9. Moderation, Reporting, and Enforcement

This & That maintains systems intended to reduce abuse and enforce these Terms and our Community Guidelines.

We may use a combination of:

Automated moderation technology;
User reports;
Technical detection systems;
Human review; and
Other safety and enforcement measures.

We may use third-party service providers to assist with automated review or moderation of User Content.

Users may report accounts, reviews, comments, direct messages, and other eligible content through reporting mechanisms provided by the Service.

Reported direct messages may be reviewed as explained in Section 6.

Depending on the nature and severity of conduct, we may:

Reject or prevent content from being published;
Remove content;
Reduce or restrict access to certain functionality;
Issue warnings;
Temporarily suspend accounts;
Permanently terminate accounts;
Prevent users from creating replacement accounts;
Preserve relevant information;
Report matters to appropriate authorities where required or appropriate; or
Take other reasonable steps necessary to protect the Service or its users.

We may act without advance notice where we reasonably believe immediate action is necessary for safety, legal compliance, fraud prevention, security, or serious violations of these Terms.

Moderation decisions may involve judgment, and we do not guarantee that we will identify every violation or that every moderation decision will be error-free.

Where the Service provides an appeal process, users may use that process to request review of eligible decisions.

10. Blocking and User Interactions

This & That provides tools that allow users to block or otherwise limit interactions with other users.

When a block is in effect, the Service is intended to prevent the blocked users from viewing one another's profiles or initiating new interactions through blocked features, including new direct messages or comments. Content or communications created before the block, including prior comments or messages, may remain visible where the Service's functionality permits.

You are responsible for exercising reasonable judgment when communicating with or interacting with people you encounter through This & That.

Unless expressly stated otherwise, This & That does not perform criminal background checks or independently verify every statement made by every user.

A profile, rating similarity, follow relationship, Taste Match score, or recommendation should not be interpreted as an endorsement of another user by This & That.

If you believe another user presents an immediate threat to someone's safety, contact appropriate emergency services or law enforcement in addition to using This & That's reporting tools.

11. Child Safety

Sexual exploitation or abuse of minors is prohibited.

Users may not create, upload, request, send, distribute, or facilitate child sexual abuse material or other unlawful sexual exploitation of minors.

We may preserve and report relevant information to the National Center for Missing & Exploited Children (NCMEC) or other authorities where required by applicable law.

Information or content associated with a child-safety report may be retained separately for up to one year after the underlying account or content is deleted, and for longer where applicable law, a valid legal process, or an ongoing safety matter requires it.

We may permanently terminate accounts associated with child exploitation or other serious child-safety violations.

12. Intellectual Property Rights

The Service, including its software, interface, branding, graphics, designs, databases, logos, trademarks, and other proprietary material, is owned by This & That or its licensors and is protected by applicable intellectual-property laws.

Except for the limited license provided in these Terms, no rights in the Service are granted to you.

"This & That," its logos, and associated names, marks, graphics, and branding may not be used in a manner that falsely suggests sponsorship, affiliation, or endorsement without authorization.

Third-party names, artwork, logos, trademarks, and other intellectual property displayed through media-catalog integrations belong to their respective owners.

13. Copyright Complaints

We respect intellectual-property rights.

If you believe material available through the Service infringes your copyright, please send a written notice that includes sufficient information to identify:

The copyrighted work you claim has been infringed;
The allegedly infringing material;
The location of that material within the Service;
Your name and contact information;
Your good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
A statement, made under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner; and
Your physical or electronic signature.

We may remove or restrict access to allegedly infringing material and may terminate accounts of repeat infringers where appropriate.

14. Feedback and Suggestions

If you voluntarily provide ideas, suggestions, feature requests, concepts, improvements, or other feedback relating to This & That ("Feedback"), you grant us the right to use that Feedback without restriction or compensation to you.

This does not transfer ownership of unrelated User Content that you create through the Service.

15. Third-Party Content and Services

This & That uses or displays information obtained from third-party media catalogs and other service providers.

Third-party media catalogs may provide information concerning:

Movies and television;
Music;
Podcasts;
Books;
Images;
Artwork;
Titles;
Descriptions; and
Other media metadata.

Providers may include The Movie Database (TMDB), Spotify, Open Library, Podcast Index, and other services used by This & That from time to time.

These media-catalog services generally provide catalog information to the Service. Their inclusion does not mean that a provider sponsors, endorses, or is affiliated with This & That unless expressly stated otherwise.

Third-party content may contain inaccuracies, become outdated, or become unavailable. Third-party services may be governed by their own terms and policies.

We also rely on third-party service providers for functions such as hosting and storage, transactional email, push notifications, safety and moderation, and other technical operations. Our handling of personal information through these providers is described in our Privacy Policy.

We may modify, replace, or discontinue a third-party integration where reasonably necessary.

16. Communications and Notifications

By creating an account, you agree that we may send you communications necessary to operate the Service, including:

Email verification;
Password-reset messages;
Security notices;
Account notices;
Account-deletion notices and reminders;
Moderation communications; and
Other transactional communications.

If you enable push notifications, we may send notifications concerning activity such as follows, comments, messages, or other account events.

You can control push notifications through your device settings and any notification settings made available through the Service.

Marketing communications, where offered, will be handled separately and may be unsubscribed from as required by applicable law.

17. Changes to the Service

This & That is an evolving service.

We may add, change, remove, suspend, or discontinue features or portions of the Service.

We do not guarantee that a particular feature, media catalog, ranking, recommendation system, API integration, account feature, or other functionality will always remain available.

Where reasonably practical, we may provide notice of material changes.

18. Account Suspension and Termination

You may stop using This & That at any time.

We may restrict, suspend, or terminate your account if we reasonably determine that:

You violated these Terms or the Community Guidelines;
Your account presents a security or safety risk;
Your activity may violate applicable law;
Your account is being used fraudulently;
Your activity materially harms This & That, its users, or third parties; or
Suspension or termination is otherwise reasonably necessary to protect the Service.

A suspended account may be hidden from normal users and the account holder may be logged out or prevented from accessing the Service.

Serious violations may result in immediate termination without prior warning.

Termination does not prevent us from preserving information where required or permitted by applicable law.

Sections of these Terms that by their nature should survive termination—including provisions concerning intellectual property, disclaimers, limitations of liability, dispute resolution, and certain content rights—will survive termination.

19. Account Deletion

You may request deletion of your account through the This & That app or at:

thisandthat.app/delete-account

When you initiate deletion, a 14-day recovery period begins. During that period, your account may remain visible in the Service unless it is separately suspended or hidden, and you may cancel the deletion request and restore the account.

If you do not cancel the request, your account and personal profile data will be permanently deleted after the recovery period. Depending on the type of User Content and the Service's approved retention rules, certain content may be deleted or anonymized rather than remaining associated with your identity.

Temporary database backups may retain deleted information for up to 7 additional days before those backups are overwritten in the ordinary course.

We may retain limited information where reasonably necessary or legally required for:

Safety investigations;
Child-safety reporting;
Fraud prevention;
Security;
Legal compliance;
Dispute resolution;
Enforcement records;
Legal claims; or
Temporary system backups.

As described in Section 11, information or content associated with a child-safety report may be retained separately for up to one year after the underlying account or content is deleted, and longer where required by law or a valid legal process.

20. No Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

THIS & THAT MAKES NO WARRANTY OR REPRESENTATION THAT:

THE SERVICE WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, OR ERROR-FREE;
ALL CONTENT OR INFORMATION WILL BE ACCURATE OR COMPLETE;
EVERY USER WILL BE WHO THEY CLAIM TO BE;
RATINGS, REVIEWS, RANKINGS, RECOMMENDATIONS, OR TASTE MATCH RESULTS WILL BE ACCURATE;
DEFECTS WILL ALWAYS BE CORRECTED;
THE SERVICE WILL BE FREE OF HARMFUL COMPONENTS; OR
THE SERVICE WILL MEET EVERY USER'S EXPECTATIONS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THIS & THAT SOCIAL MEDIA LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SERVICE.

THIS INCLUDES, TO THE EXTENT PERMITTED BY LAW, LOSS OF DATA, LOST PROFITS, LOST REVENUE, LOSS OF GOODWILL, PERSONAL OR BUSINESS INTERRUPTION, OR DAMAGES ARISING FROM USER CONTENT OR INTERACTIONS WITH OTHER USERS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

(A) THE AMOUNT YOU PAID THIS & THAT DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) $100.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

22. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless This & That Social Media LLC and its affiliates, officers, directors, employees, contractors, and agents from third-party claims, damages, liabilities, costs, and reasonable attorneys' fees arising from:

Your unlawful use of the Service;
Your material violation of these Terms;
Your User Content;
Your infringement of another person's rights; or
Fraudulent or intentionally wrongful conduct by you.

This provision does not require you to indemnify This & That for conduct for which indemnification may not lawfully be required.

23. Governing Law and Venue

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Subject to any rights you may have under applicable consumer-protection law, any judicial proceeding arising out of or relating to these Terms or the Service will be brought in the state or federal courts located in New York County, New York, and you and This & That consent to the jurisdiction of those courts.

These Terms do not require mandatory arbitration and do not contain a class-action waiver.

24. Changes to These Terms

We may update these Terms from time to time as the Service, our policies, or applicable law changes.

When we update these Terms, we will update the "Last updated" date at the top of this page.

If changes are material, we may provide additional notice through the Service, by email, or through another reasonable method.

Where required by law, we will request renewed acceptance.

Your continued use of the Service after updated Terms become effective constitutes acceptance of those updated Terms to the extent permitted by applicable law.

25. Electronic Communications

You agree that electronic communications and notices provided through the Service, website, or email may satisfy legal communication requirements that such communications be in writing, to the extent permitted by applicable law.

You are responsible for keeping your email address reasonably current.

26. General Terms

Entire Agreement

These Terms, together with the Privacy Policy, Community Guidelines, and any other terms expressly incorporated by reference, constitute the agreement between you and This & That concerning your use of the Service.

Severability

If a provision of these Terms is determined to be unlawful or unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.

No Waiver

Our failure to enforce a provision of these Terms does not waive our right to enforce it later.

Assignment

You may not assign your rights or obligations under these Terms without our written consent.

We may assign these Terms in connection with a merger, acquisition, reorganization, financing, sale of assets, or other corporate transaction, subject to applicable law.

Section headings are provided for convenience and do not alter the meaning of these Terms.
